1. Introduction
Welcome to Automation Blueprints Marketplace (ABM) — a platform operated by Labrys Troposyne Systems OÜ, registered and governed under the laws of Estonia.
These Terms & Conditions ("Terms") govern your access to and use of ABM's website, catalog, sandbox testing environment, and any related services (collectively, the "Platform"). By using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Platform.
2. Eligibility and Accounts
- You must be at least 18 years old and have legal capacity to enter into this agreement.
- You are responsible for maintaining the confidentiality of your account credentials.
- You agree not to share, resell, or misuse your account access.
- We reserve the right to suspend or terminate accounts at our discretion, including for violations of these Terms or applicable law.
3. Platform Purpose
ABM provides access to automation blueprints ("Blueprints") — structured definitions for workflow automations across various platforms (e.g., Zapier, Make, n8n). These Blueprints are contributed by users ("Contributors") or created by ABM, and may be available for free or through premium features.
ABM functions as a marketplace and catalog, not an execution or hosting provider. We do not store or process user credentials for third-party integrations.
4. Acceptable Use
You agree not to:
- Use the Platform in violation of any laws or regulations.
- Submit, upload, or share any malicious code or infringing materials.
- Circumvent, disable, or interfere with Platform security or usage limits.
- Misrepresent or falsely attribute ownership of contributed blueprints.
- Engage in data scraping, automated access, or denial-of-service attacks.
Violation of this clause may result in immediate termination of your account and possible legal action.
5. Blueprint Contributions
If you submit or publish a Blueprint to ABM, you are deemed to have accepted the Blueprint Contributor Agreement (Annex A). The following provisions apply depending on the nature of the contribution:
5.1 Open-Source Contributions
Blueprints contributed to the ABM open-source repository (at github.com/abmlib/automation-blueprints-marketplace) are governed by the following terms:
- You retain ownership of your work.
- You grant ABM and its users a perpetual, royalty-free, worldwide license to use, modify, and distribute your blueprint, including for commercial purposes.
- Open-source contributions carry no monetary compensation. The value you receive is attribution, community recognition, and portfolio building.
- You represent that your contribution is original and lawful.
5.2 Premium Marketplace Blueprints
Blueprints published as premium on the ABM marketplace platform are subject to revenue sharing:
- Contributors who publish premium blueprints receive revenue share from each sale. Revenue is distributed via Stripe Connect destination charges to the creator's connected Stripe account.
- The default platform commission is 20% of the sale price, with the remaining 80% paid to the creator. Creators who attain Verified Expert status receive an enhanced split of 85% (15% platform commission).
- Revenue share percentages may be adjusted pursuant to Section 9 (Price Changes) of these Terms.
- Payouts are subject to the creator completing Stripe Connect onboarding and maintaining an active connected account in good standing.
Full terms are set forth in the Blueprint Contributor Agreement (Annex A).
6. Subscriptions, Billing, and Payments
ABM offers paid subscription plans for Agency Profiles and Organization Accounts. By subscribing, you agree to the billing terms set forth in this section.
6.1 Recurring Billing Authorization and Auto-Renewal
By providing a payment method and completing the subscription checkout process, you expressly authorize ABM (via its payment processor, Stripe) to charge the payment method on file on a recurring monthly basis at the then-current subscription rate for your selected plan. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. Each renewal constitutes your continued authorization for recurring charges.
6.2 Free Trial
All subscription plans include a thirty (30) day free trial. During the trial period you have full access to all features of your selected plan. At the conclusion of the trial period, your subscription will automatically convert to a paid subscription and your payment method on file will be charged at the applicable rate.
You may cancel at any time before the trial period ends to avoid being charged. Cancellation during the trial period terminates access immediately and incurs no charge.
6.3 Organization Billing Responsibility
For Organization Accounts, the organization administrator (the user who created the subscription) is the sole billing party and bears full financial responsibility for all charges arising under the subscription, including:
- Base tier subscription fee — the monthly fee for the selected organization tier (Starter, Team, or Enterprise).
- Per-member overage charges — each organization tier includes a defined number of members. Additional members beyond the tier threshold are billed on a per-member, per-month basis. Overage quantities are adjusted automatically when members are added or removed.
- Proration on tier changes — when upgrading or downgrading the organization tier, charges are prorated automatically for the remainder of the current billing period.
Individual organization members are not billed directly by ABM.
6.4 Self-Service Management via Customer Portal
Subscribers may manage their subscription at any time through the Customer Portal, accessible from the billing section of your account profile. Through the Customer Portal, you may:
- Update your payment method;
- Switch between organization tiers (upgrade or downgrade);
- View billing history and invoices;
- Cancel your subscription.
7. Cancellation Policy
- You may cancel your subscription at any time via the Customer Portal (Section 6.4).
- Upon cancellation, you will retain access to all paid features until the end of the current billing period for which payment has already been made.
- No partial refunds are issued for unused time within a billing period. Once a billing period has commenced and payment has been collected, the charge for that period is final.
- After the current billing period ends, your subscription status will transition to canceled and paid features will be deactivated. Your account and data will be preserved.
8. Payment Failure and Grace Period
If a scheduled payment fails (e.g., due to an expired card, insufficient funds, or a bank decline), the following policy applies:
- Days 1–14 (Grace Period): You retain full access to all subscription features for a period of fourteen (14) days while our payment processor automatically retries the charge. An in-app notification will alert you of the payment failure so that you may update your payment method.
- After 14 days (Soft Suspension): If payment has not been successfully recovered after the grace period, your subscription features will be temporarily suspended. Suspended features include agency profile visibility, organization member access, and private blueprint registries. Your data is always preserved and is never deleted as a consequence of payment failure.
- Instant Reactivation: Upon successful payment recovery (whether via automatic retry or manual payment method update through the Customer Portal), all suspended features are reactivated immediately with no additional action required on your part.
9. Price Changes
We reserve the right to amend, adjust, or otherwise alter the fees and billing structure for any subscription plan at our sole discretion. Any such change shall be communicated to you by means of written notice no fewer than thirty (30) days in advance of the effective date of the change, in compliance with EU Directive 2019/770 (Digital Content Directive).
Price change notices will be delivered via email to the address associated with your account and/or via in-app notification. The notice will state the new price, the effective date, and your right to cancel.
If you do not agree to a price change, you may cancel your subscription before the new price takes effect. Your existing subscription will continue at the current rate until the end of the billing period in which the cancellation is submitted. Continued use of the Platform after the effective date of a price change constitutes acceptance of the new price.
10. Intellectual Property
- All ABM branding, UI, code, and schema definitions remain the property of Labrys Troposyne Systems OÜ.
- Contributors retain rights to their Blueprints subject to the license granted under Annex A.
- Users are granted a limited, non-exclusive, revocable license to view, test, and export Blueprints solely for lawful purposes.
- You may not copy, reverse-engineer, or redistribute ABM's proprietary code or database without written consent.
11. Disclaimers ("AS IS" Provision)
The Platform and all content (including Blueprints, metadata, sandbox tests, and exports) are provided "AS IS" and "AS AVAILABLE" without warranty of any kind.
To the fullest extent permitted by law, ABM disclaims all warranties, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Accuracy or completeness
- Non-infringement
- Availability, uptime, or error-free performance
You assume all risks arising from your use of Blueprints, including errors, misconfigurations, or integrations with third-party systems.
12. Limitation of Liability
To the maximum extent permitted by Estonian law:
- Labrys Troposyne Systems OÜ, its founders, employees, affiliates, and agents shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill.
- Our aggregate liability in any case shall not exceed €100 EUR or the amount paid by you to ABM in the 12 months preceding the claim (whichever is less).
- You agree to indemnify and hold harmless ABM and its affiliates from any claims arising from your contributions or use of the Platform.
13. Modifications to the Platform and Terms
- ABM may modify or discontinue the Platform at any time without notice.
- We reserve the right to amend, adjust, or otherwise alter these Terms & Conditions including, without limitation, the fees and billing structure, at our sole discretion by means of written notice no fewer than thirty (30) days in advance of the effective date of such changes, in compliance with EU Directive 2019/770 (Digital Content Directive).
- Material changes will be communicated via email to the address associated with your account and/or via in-app notification. The notice will describe the nature of the change and the effective date.
- Continued use of the Platform after the effective date of changes constitutes acceptance. If you do not agree to the amended Terms, you may terminate your account before the changes take effect.
14. Termination
ABM may suspend or terminate your access immediately, without notice, if:
- You breach these Terms;
- Required by law or regulatory order;
- Your actions compromise Platform integrity or user safety.
Upon termination, all licenses granted to you cease immediately.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to conflict of law principles. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Tallinn, Estonia.
16. Severability
If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
